The Management Board of CI Games S.A. with its registered office in Warsaw (“Company”) hereby informs, that today the Company being the only shareholder of a subsidiary under the business name CI Games Germany GmbH with its registered office in Frankfurt am Main (“Subsidiary”) decided to dissolve the Subsidiary. The Subsidiary has not been carrying out any business activities for some time. Due to the lack of economic and operational reason for continuing the legal existence of the Subsidiary, its only shareholder decided to adopt a resolution to dissolve the Subsidiary. According to para 60 sec. 1 item 2 of German regulation of April 20, 1892 on limited liability companies (Gesetz betreffend die Gesellschaften mit beschränkter Haftung) the resolution in question shall enter into force on the day of its adoption. Basing on the abovementioned resolution, it has to be assumed that the adoption of the regulation to dissolve the limited liability company (GmbH) is equal to “initiation of the liquidation” / “liquidation procedure” of the Subsidiary. The advocate Rajmund Niwiński was chosen the liquidator of the Subsidiary. The procedure related to the liquidation and dissolution of the Subsidiary and its deletion from the Commercial Register shall take place before the District Court of Frankfurt. Legal basis: § 5 item 24 and § 30 item 18 of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information submitted by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-Member State.
