Subject: Conclusion of loan agreements with PKO BP S.A.
The Management Board of Cl Games SE with its registered office in Warsaw (the “Company“) in reference to current report no. 11/2025, hereby announces that on March 21, 2025, the Company
concluded with Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna with its registered office in Warsaw (hereinafter referred to as “PKO BP”), together with the agreements about which the Company informed in current report 11/2025:
1. a non-revolving working capital loan agreement in the amount of PLN 8,500,000.00. The loan was granted for the period from March 21, 2025 to October 31, 2026. The loan is secured by:
a) a loan repayment guarantee from Bank Gospodarstwa Krajowego (“BGK”),
b) a blank promissory note issued by the Company together with a promissory note declaration.
2. a non-revolving working capital loan agreement in the amount of PLN 8,500,000.00. The loan was granted for the period from March 21, 2025 to November 30, 2026. The loan is secured by:
c) a BGK loan repayment guarantee;
d) a blank promissory note issued by the Company together with a promissory note declaration.
The provisions of the above agreements do not differ from market conditions for this type of agreement.
The Management Board of the Company informs that today, i.e. on March 21, 2025, the Company concluded three non-revolving working capital loan agreements for a total amount of PLN 25,500,000 and an Annex to the multi-purpose credit limit agreement of April 10, 2024, according to which the credit limit was increased by PLN 9,500,000.00 to PLN 24,500,000.00, about which the Company informed in current report 11/2025.
