“Appointment of the statutory auditor”
The Management Board of CI Games S.A. with its registered seat in Warsaw (“Company”) hereby informs that, on May 22, 2019, the Management Board received a resolution no. 11 of the Company’s Supervisory Board of
May 16, 2019, on the appointment of the statutory auditor to audit and review the Company’s separate financial statements and consolidated financial statements of the CI Games Capital Group for the financial
years: 2019-2020, i.e. to:
- a) review the interim separate and consolidated financial
statements for the first six months of 2019;
- b) audit the annual separate and consolidated financial
statements for 2019;
- c) review the interim separate and consolidated financial
statements for the first six months of 2020;
- d) audit the annual separate and consolidated financial
statements for 2020.
UHY ECA Audyt Sp. z o.o. Sp.k., with its registered office in Kraków, ul. Moniuszki 50, is an entity selected by the Company’s Supervisory Board to perform the above activities in the scope of financial audit. The selected entity is entered in the list of entities authorized to audit financial statements, maintained by the National Chamber of Statutory Auditors under the registration number 3115.
The right of the Company’s Supervisory Board to appoint a statutory auditor results from § 25(2)(g) of the Company’s Articles of Association. The statutory granting to the Company’s Supervisory Board of the competence to appoint a statutory auditor is, in turn, based on the provisions of art. 384 § 1 of the Code of Commercial Companies read with art. 66(4) of the Accounting Act. In this context, it should be stated that the statutory auditor was selected in accordance with the applicable provisions of the common law, as well as in accordance with the Company’s Articles of Association and the Policy and procedure for the selection of the audit firm adopted by the Company. Selection by the Company’s Supervisory Board of the entity authorized to audit the financial statements of the Company and the CI Games Group was based on the recommendation of the Audit Committee of the Company’s Supervisory Board.
The Company’s Management Board found it reasonable to classify this information as confidential within the meaning of art. 17(1) of the MAR Regulation.
