The Management Board of the Company CI Games S.A. with its registered seat in Warsaw (“Company”) hereby informs that today CI Games USA Inc. with its registered seat in New York, a subsidiary of the Company, filed a declaration of will to terminate the material agreement concluded with NAMCO BANDAI Games America Inc. (now: BANDAI NAMCO Entertainment America Inc.) (“BANDAI NAMCO”) which subject was a distribution of games “Enemy Front” and “Lords of the Fallen” in North, Middle and South America (“Agreement”). Information on concluding the Agreement was presented in the current report no. 2/2014 of January 17, 2014 by the Management Board. The Agreement was a subject-matter of an assignment made by the Company to the CI Games USA Inc., about which the Management Board informed in current report no. 28/2014 of October 16, 2014. The agreement was a material agreement both on the date of its conclusion as well as on the date of its termination. The termination of the Agreement shall have immediate effect, that is it will be terminated upon the delivery to BANDAI NAMCO a notification on the termination of the Agreement. In the opinion of the Management Board of the Company and in the opinion of the Management Board of CI Games USA Inc. the termination of the Agreement shall not influence the financial situation of the Company, CI Games USA Inc. or the Company’s capital group. Legal basis: § 5 (1) (5) and § 11 of the regulation of Minster of Finance of 19 February 2009 on current and periodic information to be submitted by issuers of securities and on conditions for recognizing as equivalent information required by the laws of a non-Member State.
