Subject: Execution of a Syndicated Loan Agreement with Erste Bank Polska S.A. and Bank Ochrony \u015arodowiska S.A.<\/strong><\/p>\n

The Management Board of CI Games SE with its registered office in Warsaw (the “Company”) hereby announces that on 30 October 2026, the Company entered into a syndicated term loan
agreement with Erste Bank Polska S.A. and Bank Ochrony \u015arodowiska S.A. (the “Lenders”) in the amount of EUR 28,600,000.00 (the “Loan Agreement”, the “Loan”) for the purpose of repaying the Company’s existing loans under loan agreements entered into with PKO Bank Polski S.A. and Erste Bank Polska S.A., as well as financing the Company’s ongoing operations, including the
completion of production and the release of the game Lords of the Fallen II. The Loan is due for repayment on 31 August 2027.<\/p>\n

Pursuant to the Loan Agreement, the Loan is secured by:<\/p>\n

1. Financial pledges and registered pledges over the Company’s bank accounts;<\/p>\n

2. Powers of attorney over the Company’s bank accounts;<\/p>\n

3. The Company’s declaration of submission to enforcement pursuant to Article 777 \u00a7 1(5) of the Polish Code of Civil Procedure, securing the Lenders’ claims;<\/p>\n

4. A guarantee of repayment of the Loan issued in favour of the Lenders by Korporacja Ubezpiecze\u0144 Kredyt\u00f3w Eksportowych sp\u00f3\u0142ka akcyjna, with its registered office in Warsaw (“KUKE S.A.”), covering 80.00% of the Loan amount, secured by a registered pledge over 6,500,000 shares in the Company, to be established by the President of the Company’s Management Board, Marek Tymi\u0144ski, in favour of KUKE S.A., and a declaration of submission to enforcement pursuant to Article 777 \u00a7 1(5) of the Polish Code of Civil Procedure, to be made by the Company in favour of KUKE S.A. The Loan Agreement provides for an undertaking by the Company to ensure that the President of the Management Board, Marek Tymi\u0144ski, retains his shareholding in the Company and does not create any encumbrances over such shares during the term of the Loan Agreement (except for the establishment of a registered pledge in favour of KUKE S.A.).<\/p>\n

The remaining provisions of the Loan Agreement do not deviate from market standards applicable to agreements of this type.<\/p>\n
