Subject: Announcement of the Management Board of CI Games SE on convening of an Extraordinary General Meeting of CI Games SE<\/strong><\/p>\n

The Management Board of Cl Games SE with its registered office in Warsaw (the \u201cCompany\u201c) acting pursuant to regulations of article 399 \u00a7 1 and art. 402\u00b9 art. 402\u00b2 of the Code of Commercial
\nCompanies, hereby convenes an Extraordinary General Meeting of the company (\u201cEGM\u201d), to be held on February 13, 2026 at 11:00 a.m. in Warsaw at ul. Rondo Daszy\u0144skiego 2B, 26 floor with
\nthe following agenda:<\/p>\n

1) opening of the Extraordinary General Meeting,
\n2) election of the Chairman of the Extraordinary General Meeting,
\n3) confirmation of the correctness of convening the Extraordinary General Meeting and its capacity to adopt binding resolutions,
\n4) adoption of the agenda,
\n5) adoption of resolutions on the appointment of new members of the Supervisory Board,
\n6) adoption of a resolution on authorizing the Management Board of the Company to increase the share capital within the limits of the authorized capital and authorizing the Management Board to exclude the subscription rights of the existing shareholders of the Company with the consent of the Supervisory Board and amending the Company’s Statute,
\n7) adoption of a resolution authorizing the Company’s Supervisory Board to establish the consolidated text of the Company’s Articles of Association,
\n8) free motions,
\n9) closing of the Extraordinary General Meeting.<\/p>\n

Full text of the announcement on the convocation of EGM by the Company\u2019s Management Board along with the proposed agenda, information concerning the date of registration at the EGM, draft
\nresolutions that will be submitted before the EGM, proxy form and the ballot form for the EGM, information about the shareholder structure are enclosed as attachments thereto.<\/p>\n
