{"id":64589,"date":"2025-03-21T16:13:09","date_gmt":"2025-03-21T15:13:09","guid":{"rendered":"https:\/\/cigames.com\/?p=64589"},"modified":"2025-03-24T09:35:25","modified_gmt":"2025-03-24T08:35:25","slug":"ci-games-se-11-2025-conclusion-of-a-credit-agreement-and-an-annex-to-the-credit-agreement-with-pko-bp-s-a","status":"publish","type":"post","link":"https:\/\/cigames.com\/en\/ci-games-se-11-2025-conclusion-of-a-credit-agreement-and-an-annex-to-the-credit-agreement-with-pko-bp-s-a\/","title":{"rendered":"CI GAMES SE (11\/2025) Conclusion of a credit agreement and an annex to the credit agreement with  PKO BP S.A."},"content":{"rendered":"<p><strong>Current report number:<\/strong> 11\/2025<\/p>\n<p><strong>Date:<\/strong> 21 March 2025<\/p>\n<p><strong>Legal basis:<\/strong> Art. 17 section 1 of MAR \u2013 inside information<\/p>\n<p><strong>Subject:<\/strong> Conclusion of a credit agreement and an annex to the credit agreement with PKO BP S.A.<\/p>\n<p>The Management Board of Cl Games SE with its registered office in Warsaw (the \u201cCompany\u201c) hereby informs that on 21 March 2025, the Company concluded with Powszechna Kasa Oszcz\u0119dno\u015bci Bank Polski Sp\u00f3\u0142ka Akcyjna with its registered office in Warsaw (hereinafter: \u201cPKO BP\u201c) a non-revolving operating credit agreement in the amount of 8.500.000,00 PLN (hereinafter: the \u201cAgreement\u201c, \u201cLoan\u201c). The Loan was granted for the period from March 21, 2025 to September 30, 2026.<\/p>\n<p>The Loan is secured by:<\/p>\n<p>1. a guarantee of repayment of the Loan from Bank Gospodarstwa Krajowego (&#8220;BGK&#8221;),<br \/>\n2. a blank promissory note issued by the Company together with a promissory note declaration.<\/p>\n<p>On March 21, 2025, the Company also concluded with PKO BP Annex No. 1 to the multi-purpose credit limit agreement of April 10, 2024 (&#8220;Annex 1&#8221;), pursuant to which the credit limit was increased by PLN 9,500,000.00 up to the amount of PLN 24,500,000.00 and the credit period was extended to April 9, 2027.<\/p>\n<p>The security for the loan in accordance with Annex 1 is:<\/p>\n<p>1. a blank promissory note issued by the Company together with a promissory note declaration,<br \/>\n2. a repayment guarantee provided by BGK,<br \/>\n3. a registered pledge and a civil pledge on the Company&#8217;s shares held by the shareholder Marek Lech Tymi\u0144ski,<br \/>\n4. an assignment of receivables.<\/p>\n<p>The provisions of the Agreement and Annex 1 do not deviate from market conditions for this type of agreement.<\/p>\n<p>Disclaimer: This English language translation may contain certain discrepancies.
