The Management Board of Cl Games SE with its registered office in Warsaw (the \u201cCompany<\/strong>\u201c) acting pursuant to regulations of article 399 \u00a7 1 and art. 402\u00b9 art. 402\u00b2 of the Code of Commercial Companies, hereby convenes an Extraordinary General Meeting of the company (\u201cEGM<\/strong>\u201d), to be held on 17 February 2025 at 3:00 p.m. in Warsaw at ul. Rondo Daszy\u0144skiego 2B, Crowne Plaza Warsaw \u2013 The HUB building with the following agenda:<\/p>\n

  1. opening of the Extraordinary General Meeting,<\/li>\n
  2. election of the Chairman of the Extraordinary General Meeting,<\/li>\n
  3. confirmation of the correctness of convening the Extraordinary General Meeting and its capacity to adopt\u00a0 binding resolutions,<\/li>\n
  4. adoption of the agenda,<\/li>\n
  5. adoption of a resolution on the appointment of a new Member of the Supervisory Board,<\/li>\n
  6. free motions,<\/li>\n
  7. closing of the Extraordinary General Meeting.<\/li>\n<\/ol>\n

    Full text of the announcement on the convocation of EGM by the Company\u2019s Management Board along with the proposed agenda, information concerning the date of registration at the EGM, draft resolutions that will be submitted before the EGM, proxy form and the ballot form for the EGM, information about the shareholder structure are enclosed as attachments thereto.<\/p>\n
