{"id":64075,"date":"2024-04-26T15:54:51","date_gmt":"2024-04-26T13:54:51","guid":{"rendered":"https:\/\/cigames.com\/?p=64075"},"modified":"2024-04-29T15:55:44","modified_gmt":"2024-04-29T13:55:44","slug":"ci-games-se-18-2024-suspension-of-execution-of-the-extraordinary-general-meetings-resolution","status":"publish","type":"post","link":"https:\/\/cigames.com\/en\/ci-games-se-18-2024-suspension-of-execution-of-the-extraordinary-general-meetings-resolution\/","title":{"rendered":"CI GAMES SE (18\/2024) Suspension of execution of the Extraordinary General Meeting&#8217;s resolution"},"content":{"rendered":"<p><strong>Current report number:\u00a018\/2024<\/strong><\/p>\n<p><strong>Date: 26 April 2024<\/strong><\/p>\n<p><strong>Legal basis: <\/strong>Art. 17 section 1 of MAR &#8211; inside information<\/p>\n<p><strong>Subject:\u00a0<\/strong><strong>Suspension of execution of the Extraordinary General Meeting&#8217;s resolution <\/strong><\/p>\n<p>The Management Board of CI Games SE with its registered office in Warsaw (the &#8220;<strong>Company<\/strong>&#8220;), hereby informs that, acting on the basis of authorization resulting from \u00a73 section 5 of Resolution No. 3\/1\/2024 of the Extraordinary General Meeting of CI Games SE of March 21, 2024 on increasing the Company&#8217;s share capital by way of issuing ordinary series M bearer shares, depriving existing shareholders of the entire pre-emptive right to all series M shares, dematerialization of series M shares and rights to series M shares, applying for admission and introduction of series M shares and\/or rights to series M shares to trading on a regulated market conducted by the Warsaw Stock Exchange, authorization to conclude an agreement for registration of series M shares and\/or rights to series M shares in a securities depository, and amendment of the Company&#8217;s Articles of Association, the adoption of which was reported by the Company in current report No. 8\/2024 dated March 21, 2024 (hereinafter the \u201c<strong>Issuance Resolution<\/strong>\u201d), on April 26, 2024 adopted a resolution to suspend the execution of the Issuance Resolution until June 3, 2024. After that date, the Company&#8217;s Management Board will resume the process of offering new issue series M shares in accordance with the Issuance Resolution.<\/p>\n<p>At the same time, the Management Board informs that it has adopted a resolution to cancel the detailed subscription rules for the subscription of series M shares, which it announced in current report No. 13\/2024 dated April 19, 2024, current report No. 16\/2024 dated April 24, 2024 and current report No. 17\/2024 dated April 25, 2024. The Management Board will determine the detailed subscription rules for the private subscription of series M shares in accordance with the Issuance Resolution after the resumption of the execution of the Issuance Resolution.<\/p>\n<p><strong>Disclaimer:<\/strong> This English language translation may contain certain discrepancies.
