Subject:<\/b>\u00a0Conclusion of a credit agreement with PKO BP S.A.<\/span><\/p>\n

The Management Board of Cl Games SE with its registered office in Warsaw (the \u201c<\/span>Company<\/b>\u201c) hereby informs that on 27 March 2023, the Company concluded with Powszechna Kasa Oszcz\u0119dno\u015bci Bank Polski Sp\u00f3\u0142ka Akcyjna with its registered office in Warsaw (hereinafter: \u201c<\/span>PKO BP<\/b>\u201c) a non-revolving operating credit agreement in the amount of 20,000,000 zloty (hereinafter: the \u201c<\/span>Agreement<\/b>\u201c, \u201c<\/span>Loan<\/b>\u201c). The Loan was granted for the period from 27 March 2023 to 30 November 2023.\u00a0<\/span><\/p>\n

The Loan is secured by:<\/span><\/p>\n

    \n
  1. Registered pledge and a civil pledge on shares of the Company held by shareholder Marek Lech Tymi\u0144ski.<\/span><\/li>\n
  2. Guarantee of repayment of the Loan granted by Bank Gospodarstwa Krajowego (\u201c<\/span>BGK<\/b>\u201d) with a blank promissory note and a promissory note declaration, issued by the Company for BGK.<\/span><\/li>\n
  3. Declaration of the Company of submission to execution with respect to claims of PKO BP under the Agreement, pursuant to art. 777 \u00a71 point 5 of the Code of Civil Procedure.<\/span><\/li>\n<\/ol>\n

    The provisions of the Agreement do not deviate from market conditions for this type of agreement.<\/span><\/p>\n
