Subject:<\/strong>\u00a0Submission of\u00a0 candidates for membership of the Administrative Board of CI Games SE<\/p>\n

Legal basis:<\/strong>\u00a0Art. 56 section 1 clause 2 of the act on public offering: current and periodic information<\/p>\n

The Management Board of CI Games S.A. with its registered office in Warsaw (“Company”) informs that on 1 September 2022, in connection with the Extraordinary General Meeting of the Company convened for 5 September 2022 (as per current report No. 20\/2022 on 8 August 2022), the agenda of which provides for the adoption of a resolution on the appointment of Members of the Administrative Board of the Company, the Company received a notification from an authorised shareholder \u2013 Mr. Marek Tymi\u0144ski, representing at least 5% of the Company’s share capital (“Shareholder”), about the submission of candidates for membership of the Administrative Board of the Company.<\/p>\n

The Shareholder proposed that the Administrative Board should include the current members Mr. David Broderick, Mr. Marcin Garli\u0144ski, Mr. Adam Niewi\u0144ski, Mr. Marek Tymi\u0144ski and candidate Mr. Jeremy M J Lewis, who was\u00a0 proposed already by the Shareholder on 31 August 2022 (as per\u00a0 current report No. 23\/2022 on 31 August 2022). In the Opinion of the Shareholder, the\u00a0 extensive experience, competences and professional successes possessed by these candidates is the justification for their election and appointment to the Administrative Board of the Company. Mr. Marcin Garli\u0144ski and Mr. Adam Niewi\u0144ski were also members of the Supervisory Board of the Company in 2021, when the Company reported record financial results. The CV of Jeremy M J Lewis was provided by the Company in current report No. 23\/2022 on 31 August 2022.<\/p>\n

All the candidates in question agreed to stand as candidates for the Company’s Administrative Board. According to the statements made by the candidates, these persons do not conduct activities that would be competitive to the activities of the Company, they are not partners in a competitive civil law partnership, partnership or capital company, or a member of the body of any competitive legal entity.<\/p>\n
