Article 56 clause 1 point 2 of the Law on public offering \u2013 current and periodic reports
\nSubject: \u201cRegistration by the court of registry of the amendment of CI Games S.A. Articles
\nof Association\u201d.<\/p>\n
The Managing Board of the company CI Games S.A. with the registered office in Warsaw
\n(the “Company”) would like to announce that it has received today the information
\nabout an entry made on August 9, 2021 by the Company\u2019s court of registry, the District
\nCourt for the City of Warsaw, XII Corporate Affairs Department of the KRS, in the
\nbusiness register at the National Court Register for the Company, on the amendment of
\nthe Company\u2019s Articles of Association as specified in the resolution no. 20\/1\/2021 of the
\nCompany\u2019s Ordinary General Meeting on June 22, 2021, as notified by the Company in
\ncurrent report no. 14\/2021 on June 22, 2021.<\/p>\n
The amendment of the Company\u2019s Articles of Association in question involves provisions
\nof \u00a7 10 b of the Company\u2019s Articles of Association, which was amended to read as
\nfollows:<\/p>\n
\u201c\u00a7 10b<\/p>\n
1. The contingent initial capital of the Company totals PLN 137,207.26 (one hundred
\nthirty seven thousand two hundred and seven zloty and 26 grosze) and is divided into
\n13,720,726 (thirteen million seven hundred and twenty thousand seven hundred and
\ntwenty six) ordinary bearer J series shares with the face value of PLN 0.01 (one grosz)
\neach.<\/p>\n
2. The purpose of conditional increase of the initial capital is to grant holders of series C
\nsubscription warrants issued by the Company the rights to take up series J shares based
\non resolution no. 20\/1\/2021 of the Company\u2019s Ordinary General Meeting on June 22,
\n2021 on the issue of series C subscription warrants with the exclusion in its entirety of
\nexisting shareholders\u2019 preemptive rights, conditional increase of the Company\u2019s initial
\ncapital with the exclusion of existing shareholders\u2019 preemptive rights, amendment of the
\nCompany\u2019s Articles of Association, an agreement to register series C subscription
\nwarrants and series J shares with the National Securities Depository and applying for the
\nadmission and introduction into trading of series J shares on the regulated market
\nmanaged by the Warsaw Stock Exchange (GPW S.A.).<\/p>\n
3. Those authorized to take up series J shares include holders of subscription warrants
\nreferred to in section 2. The right to take up series J shares may be exercised by
\nDecember 31, 2024 at the latest, with the provision of detailed rules set forth in
\nresolution no. 20\/2\/2021 of the Company\u2019s Ordinary General Meeting of Shareholders of
\nJune 22, 2021 on the issue of series C subscription warrants with the right to take up
\nseries J shares with the exclusion in its entirety of pre-emptive rights of existing
\nshareholders, conditional increase of the Company\u2019s initial capital with the exclusion of
\npre-emptive rights of existing shareholders, amendment of the Company\u2019s Articles of
\nAssociation and a permission to register series C subscription warrants and series J
\nshares with the National Securities Depository and application for admission and
\nintroduction into trading of series J shares on the regulated market managed by the
\nWarsaw Stock Exchange and resolution no. 19\/1\/2021 of the Company\u2019s General
\nOrdinary Meeting of Shareholders dated June 22, 2021 on the establishment of an
\nincentive plan addressed to key employees and contractors of CI Games Group,
\nincluding Managing Board Members of CI Games S.A. In the event of a failure to exercise
\nthe right resulting from series C subscription warrants within the date set in the
\npreceding sentence, the rights to warrants in question shall expire.\u201d
\nThe Unified text of the Company\u2019s Articles of Association which includes the above
\nchange registered by the court of registry will be adopted by the Company\u2019s Supervisory
\nBoard.<\/p>\n
Detailed legal basis: \u00a7 5 clause 1 and \u00a7 6 of the Regulation of the Minister of Finance of
\nMarch 29th, 2018 on current and periodical information provided by issuers of securities
\nand the terms and conditions for information required by the provisions of law of a
\nnon-member state being recognized as equivalent (Journal of Laws, 2018, item 757).<\/p>\n
