Thus, CI Games SE is obliged to comply with Regulation (EU) No 596\/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003\/6\/EC of the European Parliament and of the Council and Commission Directives 2003\/124\/EC, 2003\/125\/EC and 2004\/72\/EC (\u2018MAR Regulation\u2019).<\/span><\/p>\n

Beginning from July 3rd, 2016, according to the MAR Regulation, either Members of the Management Board or the Supervisory Board of CI Games SE as well as the so called \u2018persons closely associated with them\u2019 are obliged to notify the issuer (i.e. CI Games SE), and the competent authority (i.e. in Poland \u2013 Komisja Nadzoru Finansowego, \u2018KNF\u2019), of every transaction conducted on their own account relating to the financial instruments issued by CI Games SE<\/span><\/p>\n

Detailed information on the procedure for notifying the Polish Financial Supervision Authority (KNF) of transactions, including notifications submitted in the so-called \u201cemergency\u201d mode, is available at:\u00a0https:\/\/www.knf.gov.pl\/dla_rynku\/Informacje_dla_podmiotow_nadzorowanych\/mar\/raportowanie_19_MAR?articleId=68331&p_id=18<\/a>.<\/p>\n

In the light of MAR Regulation and for purposes of Article 19 of the MAR Regulation, the said \u2018person closely associated with person discharging managerial responsibilities\u2019 means:<\/b><\/h3>\n

a) a spouse, or a partner considered to be equivalent to a spouse in accordance with national law;<\/span><\/p>\n

b) a dependent child, in accordance with national law;<\/span><\/p>\n

c) a relative who has shared the same household for at least one year on the date of the transaction concerned; or<\/span><\/p>\n

d) a legal person, trust or partnership, the managerial responsibilities of which are discharged by a person discharging managerial responsibilities or by person referred to in point a), b) or c) above, which is directly or indirectly controlled by such a person, which is set up for the benefit of such a person, or the economic interest of which are substantially equivalent to those of such a person.<\/span>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][vc_column_text]\n

  1. Closed periods related to publication of periodic reports at CI Games SE \u2013 <\/span>applicable to persons who discharge managerial responsibilities within the CI Games SE<\/span><\/li>\n<\/ol>\n

    \u00a0<\/span><\/p>\n

    Pursuant to Art. 19 section 11 of the MAR Regulation in force from 3 July 2016. \u201c(\u2026) a person discharging managerial responsibilities within an issuer shall not conduct any transactions on its own account or for the account of a third party, directly or indirectly, relating to the shares or debt instruments of the issuer or to derivatives or other financial instruments linked to them during a\u00a0<\/span>closed period<\/b>\u00a0of\u00a030 calendar days before the announcement of an interim financial report or a year-end report (\u2026 ) \u201c.<\/span><\/p>\n
